This guide gives an overview of the main stages of setting up a company in Kuwait and helps you ask the right questions before you start.

1. Choose the legal form

The Companies Law provides several forms, including the limited liability company, the single-person company and joint stock companies. The choice depends on the number of shareholders, capital, the activity, and how far you want to limit liability.

2. Shareholders and ownership

Some activities restrict non-Kuwaiti ownership, while the direct investment framework allows wider foreign ownership for certain activities subject to conditions. Check the position for your activity before settling the ownership structure.

3. Prepare the documents

  • Memorandum and articles of association.
  • A shareholders' agreement governing the relationship between owners.
  • Personal and corporate documents of the shareholders.
  • A lease for the company premises.

4. Licences

Once incorporated, the company needs a commercial licence, and its activity may require further approvals from other authorities.

5. After incorporation

This includes opening a bank account, registering with the authorities responsible for labour, and setting up records and internal governance.
